You are reading these terms because you are using an icefromnorth website, digital experience, social media platform, mobile application, wearable technology, or one of our other goods or services, all of which are part of ntopia's platform. You can access the platform through a computer, mobile phone, tablet, console, or other technologies that we here call "devices". Your provider's normal rates and fees apply to your device.

These Terms constitute a legally binding agreement between you and ntopia, and their affiliates (including "icefromnorth", "we", "us", or "our") regarding your use of the Platform. A couple of important points:

• Our terms and conditions are subject to change. 

We may change these terms from time to time. If a material change is made, we will leave a message about this on the Platform, or send you a message. Read through the changes, and if you do not agree with the change, we ask you to stop using the Platform. If you continue to use the Platform after you have been notified of the changes, this is considered acceptance of the changes, except to the extent prohibited by applicable law.

• Guidelines for privacy . Our privacy policy presents the method for collecting and using personal information on the Platform, and applies to your use of the Platform.

1. PRINCIPAL RULES

JUSTIFICATION. You are only entitled to use the Platform if you are of legal age. or if you have consent from your parent or guardian/guardian. There may be certain age restrictions for specific Platform Services.

REGISTRATION RULES . When you register a user with us, the following rules apply:

• Be reliable. Provide correct and up-to-date registration information.
• Be yourself . Registration must be personal. Do not register for more than one user, register a user on behalf of someone else, or transfer your account to someone else.
• Be sure . Keep your username, password and other login information safe and do not allow others to use your user account.

• Be responsible . Inform ntopia immediately of any unauthorized use of your user account. You are responsible for everything that happens through your ntopia user account - with or without your permission. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ntopia IS NOT LIABLE FOR ANY LOSS OR ACTIVITY RESULTING FROM UNAUTHORIZED USE OF YOUR USER ACCOUNT.

2. OWNERSHIP OF CONTENT

Except for User Content (defined below), all content on our Platform – including text, software, scripts, code, designs, graphics, images, sounds, music, videos, applications, interactive features, articles, news stories, sketches, animations, stickers, generally artwork and other content (“Content”) – owned by ntopia or others we license content from, and protected by copyright, trademark, patent and other laws. ntopia reserves all rights that are not expressly described in these Terms.

• All trademarks, service marks and trade names (for example the ntopia name and Ice from north) are owned, registered and/or licensed by ntopia. You acquire no license or ownership rights to any trademarks, service marks or trade names through your access to or use of the Platform or the Content.
• You undertake not to change or delete information about ownership from downloaded or printed material from the Platform.
• To the extent that ntopia authorizes the downloading or use of copyrighted content or work, ntopia grants you a limited, personal, non-transferable, non-sublicensable, and revocable license to access and use such copyrighted work, but only for the purpose provided and only as long as ntopia makes such Content available to the public. You acquire no right of ownership to the Content (including any trademark or other intellectual property found in the Content), and all such Content is intended for personal, non-commercial use. ntopia reserves the right to monitor your use, and to modify or revoke this license or your access to the Content at any time and for any reason. ntopia reserves the right to remove Content that violates these terms or ntopia's intellectual property rights. That ntopia allows you limited use is not considered a waiver of any of ntopia's rights to the Content.
• Beyond the specific usage rights granted to you by ntopia in connection with the Platform, you agree not to use, copy, modify, translate, reproduce, distribute, download, transmit, sell, create derivative works from, or otherwise exploit the Content , including User Content (unless it is your own User Content that you lawfully publish on the Platform), without first receiving ntopia's prior written consent. Unauthorized use of the Content may result in infringement of copyright, trademark or other intellectual property rights, and may result in criminal or civil charges or sanctions.

3. PUBLISHING CONTENT ON THE PLATFORM

USER CONTENT LICENSE. Parts of the Platform allow you to post photos, videos, comments and other content that we refer to as "User Content". ntopia is not responsible for User Content published by others on the Platform. The User Content is owned by you or its creator, but when you publish User Content, you license it to ntopia as described below:

• You acknowledge that you have a right to post User Content and that you grant ntopia a non-exclusive, perpetual, transferable, sublicensable, royalty-free, worldwide license to use any User Content you post on or in connection with the Platform, including images of any person appearing in the User Content, or any of the concepts or ideas contained in the User Content, for any purpose, including commercial use, including the right to translate, display, reproduce, modify, create derivative works from, sublicense, distribute, and assign these rights . ntopia may, in its sole discretion, remove any User Content at any time.
• You agree that deleted User Content may remain in ntopia's system and on the Platform to the extent that your User Content has been published publicly, or shared with others who have not deleted it, unless you or the relevant individual requests the deletion or blocking of personal data in accordance with applicable law.

LICENSE TO USE COMMENTS, FEEDBACK AND IDEAS. You agree that any comment, feedback, or idea you submit to us is provided on a non-confidential basis, and that you grant ntopia a perpetual, worldwide license to, without notice, compensation, or acknowledgment, use any Comments , feedback and ideas you share with us for any purpose, including, but not limited to, developing, manufacturing and marketing goods and services, and creating, changing or improving products or services.

4. USER CODE

We are happy for your contribution to the ntopia community. Below are a few basic rules:

• Be original. Only publish User Content on the Platform if you have permission or the right to make the content available, including from any person who appears or is mentioned in your User Content.
• Be safe .
• Do not do anything that may expose ntopia or its users to any type of damage, including anything that may disrupt, damage, disable, tamper with, overload or limit the Platform's functionality.
• Do not post User Content that contains software viruses, programs or other computer code, and do not circumvent or alter any Platform software or security technology.
• Do not use any form of data mining, robots, scraping or other collection methods.
• Unless we state otherwise, our Platform is a public place. Publish neither your own nor other people's personal information on the Platform.
• Be personal.
• Do not publish advertising, solicitations or commercial content, or accept payment from a third party in exchange for commercial performance on the Platform.
• Do not collect or solicit personal information from other Platform Users, or send them unsolicited messages.
• Do not use automated technology to communicate with the Platform.
• Behave appropriately . Respect the community. Do not post any User Content, link to any website, or do anything that is illegal, misleading, harmful, harassing, inaccurate, discriminatory, or otherwise offensive or inappropriate, or that violates any applicable law. ntopia has the right to pre-check, monitor, or remove User Content - but we have no obligation to do so.
• Be yourself. Do not impersonate any person or organization, including athletes or ntopia employees.
• Have fun!

5. COPYRIGHT INFRINGEMENT

Please consult with your legal advisor before sending us a notice, as false claims may result in penalties. ntopia may terminate user accounts on the Platform that infringe third party copyrights.

If you believe that your work has been wrongly copied to the Platform, so that it constitutes an infringement, we ask you to provide us with the following information.

1. Name, address, telephone number, e-mail address and an electronic or physical signature of the rights holder or someone who can act on his/her behalf;
2. A description of the copyrighted work that you claim has been infringed;
3. A description of where on the Platform the content you claim is offensive is located;
4. A written statement in which you confirm that you have a good faith belief that the disputed use is not accepted by the licensee, its agent or by law; and
5. A personal statement in which you confirm in good faith that the above information in your letter is accurate and that you are the rights holder or are authorized to act on the rights holder's behalf.

6. PARTNERS ON THE PLATFORM

From time to time ntopia may link to or collaborate with third party websites, social media platforms, mobile applications, and other products and services (Third Parties). You may be able to connect to these Third Parties through the Platform, but this does not mean that ntopia assumes responsibility for, monitors or has control over these Third Parties or their activity, which is subject to its own terms and privacy guidelines. You should read Third Party sites and terms of use and privacy policies carefully. ntopia is not responsible for the content, policies, or activity of third parties, and you interact with Third Parties at your own risk.

7. IMPORTANT DISCLAIMER

USER INTERACTION. To the extent permitted by law, we are not responsible for your interactions with other users on the Platform, or any other damage that may occur as a result of these interactions .

• Take responsibility and take precautions when interacting with other users (including users you do not know) on the Platform. Before you decide to physically meet someone, consider doing your research, bringing a friend, choosing a public place, and letting someone know where you'll be. ntopia is not obliged to become involved in any user dispute, but may become involved at its own discretion.

DISCLAIMER OF WARRANTY. Some jurisdictions do not allow certain limitations or exclusions of liability, legal guarantees and remedies, so these limitations and exclusions may not apply to you.

The Platform, the content, and other material and products on the Platform are available "as is"/"as is". We make no promises of any kind, including about the Platform's accuracy, adequacy, usefulness, reliability or the like. TO THE FULLEST EXTENT PERMITTED BY LAW, ntopia IS NOT RESPONSIBLE FOR ANY USER CONTENT PUBLISHED ON THE PLATFORM.

• ntopia cannot guarantee that the Platform will be uninterrupted or error-free, that errors will be corrected, or that the Platform will not contain viruses or anything else harmful.
• To the fullest extent permitted by law, ntopia disclaims all warranties, express or implied, relating to the Platform, Content, User Content or other products or services that you may access through the Platform, including, but not limited to, implied warranties to transfer title, merchantability, fitness for a particular purpose or non-infringement.
• You yourself are responsible for damage to your device as a result of accessing the Platform, unless otherwise stated by applicable law.
• We hope you enjoy and fully benefit from the Platform. However, we do not guarantee any results.

8. TERMINATION

ntopia may terminate or change any ntopia Platform, membership program, product or service at any time without notice.

ntopia may terminate or remove your user account, delete your profile or any of your User Content, and restrict your use of all or part of the Platform at any time and for any reason, without any liability to ntopia, subject to applicable law.

• You understand and agree that some of your User Content, particularly that which appears in the activity log or other public places on the Platform, may continue to be public even after your user account is terminated, subject to your right to have your User Content removed upon request in accordance with applicable law.
• These Terms apply even after your user account has ended, or you have stopped using the Platform.

9. INDEMNIFICATION/ LIMITATIONS OF LIABILITY

We want you to enjoy our Platform, but ntopia also needs to protect itself from any damage you may cause.

INDEMNIFICATION AND RELEASE. Some jurisdictions do not allow certain limitations or exclusions of liability, legal guarantees and remedies, so these limitations and exclusions may not apply to you. You agree to indemnify, defend and hold harmless ntopia ., its affiliates, officers, directors, employees, agents, licensors and suppliers ("ntopia partner") from and against all claims, losses, liabilities, expenses, damages and costs, including and without limitation; legal fees arising out of or in connection with your use of User Content, your use of Content, your use of the Platform, your conduct in connection with the Platform or with other Platform Users, or violation of these Terms of Use, any law or any third party rights . You hereby fully and forever indemnify, on behalf of yourself, your heirs, your estate, your underwriters and your assigns, the ntopia parties from any claim or suit you may have for any loss in any way connected with your use The platform on.

LIMITATION OF LIABILITY.  

NONE OF THE ntopia PARTIES WILL BE LIABLE FOR ANY DIRECT, SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL LOSSES, INCLUDING, WITHOUT LIMITATION, LOST PROFITS OR LOST DATA RESULTING FROM THE USE OF, OR INABILITY TO USE THE PLATFORM, OR THE PERFORMANCE OF THE PRODUCTS PROVIDED IS PURCHASED THROUGH THE PLATFORM, OR THE CONDUCT OF OTHER USERS (WHETHER ONLINE OR OFFLINE), OR PARTICIPATION IN ntopia EVENTS OR ntopia PARTNER EVENTS, OR ANY USER CONTENT OR OTHER ACTIVITY IN CONNECTION WITH THE USE OF THE PLATFORM, EVEN IF ntopia HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS. YOU ASSUME FULL RESPONSIBILITY FOR YOUR USE OF THE PLATFORM. YOUR SOLE REMEDY AGAINST ntopia FOR DAMAGES ARISING FROM YOUR USE OF THE PLATFORM OR ANY CONTENT IS TO STOP USING THE PLATFORM. IF ntopia IS FOUND LIABLE TO YOU FOR DAMAGES OR LOSSES RELATED TO YOUR USE OF THE PLATFORM OR ANY CONTENT, ntopia'S LIABILITY SHALL NOT EXCEED US$100.00, OR EURO 100.00 IF YOU LIVE IN EUROPE.

10. APPLICATION MARKETPLACES : You acknowledge that this Agreement is between you and ntopia, and not with the application marketplace where you download an ntopia application (For example, the App Store operated by Apple Inc. for iOS users, or the Google Play store operated by Google Inc. for Android -users).

11. DISPUTES/ ADDITIONAL TERMS

"CHOICE OF LAW/JURISDICTION"

• You accept that the Platform, the Terms, Privacy Policy and any dispute between you and ntopia shall be resolved in accordance with Norwegian law, without regard to choice of law and the UN Convention on Contracts for the International Sale of Goods of 1980.
• Except where prohibited, and without limitation of statutory consumer rights, you agree that all disputes, claims and legal proceedings directly or indirectly arising out of or relating to the Platform (including but not limited to the purchase of ntopia products) shall be resolved solely by competent courts in Amsterdam, the Netherlands.

ELECTRONIC COMMUNICATION

• By using the Platform, you agree to receive certain types of electronic communications from ntopia, subject to applicable law.
• You agree that any message, agreement, communication or other communication that ntopia sends you electronically satisfies the legal requirements for communication, including that such communication can be in writing.

RIGHT OF ASSIGNMENT, NO WAIVER, INVALIDITY

• ntopia may assign its rights and obligations under these Terms to any party without notice to you, unless such notice is required by law, but this will not affect your rights or obligations under these Terms.
• If ntopia fails to insist on or enforce compliance with these Terms, this is not a waiver of any of these Terms or any of ntopia's rights. The user must always assume that the Terms and Conditions apply.
• If any of the provisions of these terms and conditions are invalid or unenforceable, the rest of the terms and conditions shall continue to be valid.
